Each tier includes a monthly pool of credits. Typical usage: review ≤15 pages = 1 credit; short-form draft (NDA, SOW, PO, simple addendum) ≤6 pages = 1 credit; negotiation call (30–45 min) or one consolidated redline set = 1 credit; long-form draft ≤15 pages or review 16–30 pages = 2 credits; long-form draft ≤20 pages or review 31–45 pages = 3 credits. We confirm credit use at intake so there are no surprises.
Page limits are per document and include exhibits/schedules. We count pages using standard Word/PDF formatting. Highly specialized or heavily regulated contracts may require a custom scope and quote before work begins.
Included: contract reviews, drafting, redlines, negotiation support, playbook development, and renewal/obligation tracking as indicated by tier. Not included: litigation or dispute representation, tax advice, regulatory filings, trademark/copyright filings, DPIAs/data mapping, international local-counsel fees, platform subscriptions (e-signature, VDR), or government/third-party fees. These can be added or separately scoped.
Standard review or short-form draft: 3–5 business days. New long-form draft: 5–7 business days. Tiers include limited 48-hour rush capacity where feasible. Negotiations are scheduled based on counterparty availability; SLAs are confirmed in writing at intake for each item.
Yes—up to 50% of unused credits roll over one month while the account is in good standing. Credits beyond that expire. Rollovers don’t stack across multiple months or paused periods unless otherwise agreed in writing.
We’ll flag overage before continuing. You can upgrade tiers, purchase a one-time credit pack, or continue at our hourly overflow rates as listed in your Engagement Letter. Your choice—no surprise billing.
Yes—Growth and Scale include live negotiation sessions (quantity varies by tier). We can lead counsel-to-counsel calls, refine positions, and deliver redlines. For Core, we provide talking points and email scripts; live sessions can be added as needed.
After conflicts clearance and engagement, we (1) set up your secure portal, (2) collect existing contracts and priorities, (3) run a kickoff to define approved positions, fallback terms, and escalation thresholds, and (4) build or refine your contracting playbook. Playbooks evolve as your deals mature.
Email and the client portal are standard. Growth and Scale can add a shared Teams/Slack channel. Response times follow your tier: within 1 business day (Core), priority (Growth), or same-day within 4 business hours (Scale).
Yes. Subscriptions are month-to-month with 30-day cancellation. You can upgrade anytime (pro-rated). Downgrades take effect next billing cycle. Pauses are available by request when deal flow is temporarily light—ask for current options and rollover rules during a pause.
No. Credits are a scheduling and value mechanism. They may roll over one month (up to 50%) but do not convert to refunds or cash equivalents. Quarterly prepay discounts are applied at purchase and are non-refundable once work begins.
Subscriptions are for the contracting entity named in your Engagement Letter. Use across additional entities or brands can be added via an expanded scope or multi-entity addendum so risk is properly addressed for each entity.
Yes—cross-border commercial agreements are common. If local law advice is required, we can coordinate with foreign counsel. Additional fees may apply and will be quoted in advance for approval.
We use a secure client portal and restrict access to your matter team. Our Engagement Letter includes confidentiality obligations consistent with professional rules. We never share your information outside your matter without authorization.
Our subscription focuses on transactional work. If a dispute arises, we can advise on strategy and draft demand/notice letters within the Scale tier. Formal litigation is separately scoped and currently limited to North Carolina courts.
We’ll maintain momentum within your tier’s support window. If delays push beyond that, we can extend support via rollover credits, a mini-scope, or hourly overflow—whichever is most cost-effective. We’ll confirm options before continuing.
